LEGAL
Terms of use
Last updated: October 23, 2026
These Terms of Use ("Terms") are a binding agreement between you and The Prop Fund ("The Prop Fund," "we," "us," or "our") governing your access to and use of our website, subscriptions, data, and related services (the "Service"). The Service is operated by The Prop Fund, LLC. Subscription, license, billing, and cancellation terms are included below. By using the Service you agree to these Terms, our Privacy Policy, and our Data Disclaimer.
Please read Section 14 carefully. It requires disputes to be resolved by binding individual arbitration administered by JAMS in Atlanta, Georgia, and waives your right to a jury trial and to participate in class actions.
1. Eligibility
You must be at least 18 years old and able to form a binding contract. If you use the Service for a business, you represent that you are authorized to bind that business to these Terms.
2. What the Service is — and is not
The Prop Fund is a research platform that provides information about upcoming Georgia foreclosure opportunities. We do not conduct auctions, accept bids, hold deposits, act as a broker, agent, lender, or trustee, or provide legal, title, tax, or investment advice.
All information is provided as described in our Data Disclaimer, which is incorporated into these Terms.
3. Accounts
You are responsible for keeping your login credentials confidential and for all activity under your account. Accounts are for a single individual user; credentials may not be shared. Notify us promptly of any unauthorized use.
Only one sign-in may be active on an account at a time; signing in on another computer, phone, or browser may sign out the earlier one. To enforce this, we record the IP address and device used for each sign-in. We may suspend or terminate an account that is shared, or that is accessed by bots, scrapers, or other automated means.
4. Subscriptions, trials, and billing
- Memberships are sold by sale cycle. A sale cycle runs from 5:00 PM Eastern on one Georgia foreclosure sale day to 5:00 PM Eastern on the next. Sale day is the first Tuesday of the month, or the Wednesday after it when that Tuesday is January 1 or July 4. A monthly membership buys one sale cycle and an annual membership buys twelve. Memberships are billed in advance and renew automatically at 5:00 PM Eastern on sale day until cancelled.
- Free trials, if offered, end at the time stated when you start them. When a trial ends, the full price of the sale cycle running at that moment is charged, without deduction for trial days.
- You may cancel at any time. Cancelling stops the next renewal; access continues until 5:00 PM Eastern on the sale day that ends the sale cycle you paid for. Prices are never prorated: a sale cycle costs the same whatever day you buy it. Except where required by law, fees are non-refundable.
- We may change prices with advance notice; changes apply at your next renewal.
- You authorize us and our payment processor to charge your payment method for all applicable fees and taxes.
5. License and acceptable use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your own internal research. You agree not to:
- scrape, crawl, bulk-download, or use bots to access the Service, except through features we provide;
- resell, redistribute, sublicense, or publish our data or build a competing product or database;
- share accounts or circumvent usage limits, paywalls, or security measures;
- use the Service to harass, contact, or solicit homeowners in violation of law, including the TCPA, CAN-SPAM, Fair Debt Collection, fair housing, or Georgia foreclosure-rescue laws;
- reverse engineer the Service, upload malicious code, or interfere with its operation; or
- use the Service for any unlawful purpose.
6. Intellectual property
The Service, including its software, design, compilations, estimates, text, and trademarks, is owned by The Prop Fund or its licensors and protected by law. Our selection, arrangement, and presentation of data are proprietary. No rights are granted except as expressly stated.
7. Your content and feedback
If you submit notes, data-issue reports, or feedback, you grant us a worldwide, royalty-free license to use it to operate and improve the Service. You represent that you have the right to submit it.
8. Third-party sites and data
The Service links to and displays information from third parties (such as county websites, auction platforms, and valuation providers). We do not control and are not responsible for their content, availability, or practices. Your use of third-party sites is governed by their terms.
9. Disclaimer of warranties
The Service and all data are provided "as is" and "as available," with all faults and without warranties of any kind, express, implied, or statutory, including accuracy, completeness, timeliness, merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any data is correct. You rely on the Service at your own risk.
10. Limitation of liability
To the maximum extent permitted by law, The Prop Fund and its owners, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, deposits, data, or investment losses, arising out of or relating to the Service or any data, even if advised of their possibility. Our total liability for any claim will not exceed the greater of the amounts you paid us in the twelve (12) months before the claim or one hundred U.S. dollars ($100).
11. Indemnification
You will defend, indemnify, and hold harmless The Prop Fund and its affiliates from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your purchase or attempted purchase of any property, your content, or your violation of these Terms or any law.
12. Suspension and termination
We may suspend or terminate your access at any time for violation of these Terms or to protect the Service. You may stop using the Service at any time. Sections that by their nature should survive termination (including 6, 9–15) will survive.
13. Changes to the Service or Terms
We may modify the Service or these Terms. Material changes will be posted with a new "Last updated" date and, where appropriate, notified by email. Continued use after changes take effect constitutes acceptance.
14. Dispute resolution — binding arbitration
Informal resolution. Before filing a claim, you agree to contact us and attempt to resolve the dispute informally for at least 30 days.
Agreement to arbitrate. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service, including questions of arbitrability, will be resolved exclusively by final and binding arbitration administered by JAMS under its Streamlined Arbitration Rules & Procedures (or its Comprehensive Rules where claims exceed the Streamlined threshold) and, for consumers, the JAMS Consumer Minimum Standards. The arbitration will be conducted before a single arbitrator in Atlanta, Georgia, unless the parties agree to proceed by video or written submissions. Judgment on the award may be entered in any court of competent jurisdiction. This agreement is governed by the Federal Arbitration Act.
Class action and jury waiver. Claims may be brought only in an individual capacity, not as a plaintiff or class member in any purported class, collective, or representative proceeding. You and The Prop Fund waive any right to a jury trial.
Exceptions. Either party may bring an individual claim in small-claims court, or seek injunctive relief in court for infringement or misuse of intellectual property or unauthorized access to the Service.
Opt-out. You may opt out of this arbitration agreement by emailing us within 30 days of first accepting these Terms with your name and a clear statement that you opt out.
Time limit. Any claim must be brought within one (1) year after it arises, or it is permanently barred.
15. Governing law and venue
These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law rules. For any matter not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Fulton County, Georgia.
16. General
These Terms, with the Privacy Policy and Data Disclaimer, are the entire agreement between you and us. If any provision is unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. Notices to you may be sent by email or posted on the Service.
17. Subscription Terms: Scope; relationship to existing terms
This Foreclosure Data Subscription Supplement (“Supplement”) applies to The Prop Fund’s foreclosure information, property research, maps, search tools, notices, analytics, exports, alerts, guides, and related data-subscription features (collectively, the “Data Service”). “Data” includes information, records, compilations, descriptions, photographs, documents, estimates, and other content made available through the Data Service, subject to the rights in each item.
This Supplement supplements the Company’s Terms of Service (“Base Terms”). Compatible provisions of the Base Terms remain effective. For the Data Service only, this Supplement controls an irreconcilable conflict concerning the permitted business-research license, authorized representative accounts, subscription billing/cancellation, the distinction from legacy investment offerings, and the data-specific use restrictions and disclosures expressly addressed here. Its User Material provisions in section 15 and warranty/liability safeguards, indemnity, dispute reconciliation, and amendment/notice provisions in sections 19–23 also control inconsistent general provisions for the Data Service. This priority preserves the single retained liability framework and applicable arbitration administrator; it does not create competing caps or procedures. The financial terms of a specific offer you knowingly accept control that offer’s price, duration, trial, and included features; they do not waive other protections unless they expressly say so.
A separate agreement signed by an authorized Company representative controls the matters it expressly modifies. Mandatory law controls over any inconsistent contract language. The Privacy Policy and its supplement govern descriptions of personal-information practices and statutory privacy choices; a general content-license clause is not permission to disregard those commitments. The Data Disclaimer explains information limitations and does not create a separate or cumulative liability cap.
This Supplement does not amend completed securities purchases, real estate transactions, or separate legacy agreements unless an express, valid amendment says otherwise. It does not retroactively eliminate accrued claims, vested rights, or obligations owed under an earlier accepted agreement.
18. Subscription Terms: Assent; eligibility; authority
You must be at least 18 and legally able to enter this agreement to open a Data Service account. You agree to the Base Terms, this Supplement, and the incorporated Data Disclaimer through the affirmative acceptance mechanism presented when registering, subscribing, or accepting a material update. You may save or print the applicable versions.
If you act for a business or other entity, you represent that you have authority to bind it; “you” includes that entity for the account and use you authorize. An authorized representative may register an entity account even if a general provision in the Base Terms otherwise refers to personal registration. This does not permit impersonation or unauthorized access to another person’s account.
The Data Service is offered for lawful property and market research in permitted jurisdictions. Georgia property coverage does not establish that every user is a Georgia resident. You must not use it where prohibited by applicable law or sanctions.
19. Subscription Terms: What a subscription provides
A subscription provides access to the features and available Data identified in the accepted plan, subject to these terms and applicable source restrictions. It does not purchase an ownership interest, a lien, a property, a security, a right to bid, priority over other investors, exclusive leads, or guaranteed investment results.
The Georgia Statewide plan includes geographic access across all 159 Georgia counties. This describes the plan’s geographic scope; it is not a promise that every foreclosure, auction, property, field, document, or historical period is available. Availability, source participation, update timing, and completeness may differ by county and record. Coverage descriptions and specific feature promises remain subject to applicable law; this paragraph does not authorize materially misleading advertising.
Each paid sale cycle gives access to the available listings for the counties in your plan. A listing is archived at 5:00 PM Eastern on its advertised sale date and is no longer shown after that time.
The initial Data Service focuses on mortgage foreclosure information unless the plan expressly identifies additional datasets. Tax-sale, bank-owned, judicial-sale, estate, bankruptcy, or other specialized datasets are included only when explicitly offered.
20. Subscription Terms: Permitted license; internal business research
While your access is valid, the Company grants you a limited, nonexclusive, nontransferable license to access the Data Service through approved interfaces for your own lawful property research and the internal business research of the entity identified in your account. This specific permission supersedes a general “personal, noncommercial use only” restriction solely to the extent necessary for that authorized internal research.
The standard subscription is for one named user unless your accepted plan expressly includes additional seats. Each authorized user must use their own credentials. You may discuss your independently developed conclusions with your advisers and provide limited property-specific excerpts reasonably necessary for their confidential advice, only when the applicable source rights permit. This does not authorize sharing login access, distributing datasets, or providing a substitute subscription service.
Downloads and exports are permitted only through available authorized functions, within the plan and displayed source restrictions. An export is a dated research snapshot, not a continuing right to updates. Unless a source restriction or applicable law requires otherwise, you may retain lawfully downloaded permitted snapshots for your internal research records after a subscription ends; continuing use remains subject to the use, confidentiality, and redistribution restrictions. Cancellation does not transfer ownership of Company materials or unlock new downloads.
Nothing here claims exclusive ownership of facts or government records merely because they appear in the Data Service. The license protects the Company’s software, original content, protected compilation interests, access arrangements, and contractual rights without extending beyond rights the Company actually holds.
21. Subscription Terms: Accounts and security
Provide accurate registration and billing information, keep it current, and protect your credentials. You are responsible for activity you authorize and for taking reasonable steps to prevent unauthorized use. Notify The Prop Fund through our Contact page promptly if you suspect account compromise. This provision does not transfer responsibility for a security failure caused by the Company to you.
Do not share, sell, rent, transfer, or pool accounts; evade seat limits or suspensions; or create multiple accounts to obtain repeated promotional trials. We may require proportionate verification, limit suspicious sessions, and suspend access reasonably necessary to investigate misuse or protect the service. We will handle verification information under the Privacy Policy. No request for account verification authorizes collection of unnecessary sensitive personal information.
22. Subscription Terms: Subscription price and recurring billing
The standard Georgia Statewide membership is $199.99 USD per sale cycle (monthly), or $2,199.99 USD for twelve sale cycles on the annual plan. A County Plan covers only the Georgia counties you select, at the per-county price per sale cycle, or for twelve sale cycles, shown on the Pricing page and at checkout before you buy. Prices are plus applicable taxes disclosed before purchase, unless you expressly accept a different authorized offer. We will identify the actual seller and payment terms before obtaining billing information and before charging you.
A purchase made on sale day before 5:00 PM Eastern buys that day's sale cycle. Its listings are archived at 5:00 PM Eastern that day, and the membership renews at 5:00 PM Eastern that day for the next sale cycle at the full price, unless you cancel before then. Checkout states this before you buy. A purchase made on sale day from 5:00 PM Eastern buys the next sale cycle.
Prices are not prorated. On a monthly County Plan, a county you add during a sale cycle becomes available at once and is charged its full price for that cycle, as shown before you confirm; it then renews with your plan. A county you remove stays available until the current sale cycle ends at 5:00 PM Eastern on sale day and is not billed after it. Moving from a monthly County Plan to Georgia Statewide takes effect at once for the full Statewide price of the current sale cycle, without credit for counties already paid for. Moving from Statewide to a County Plan, and any change to an annual plan, takes effect at the next renewal.
WHEN YOU AFFIRMATIVELY PURCHASE A RECURRING MONTHLY OR ANNUAL MEMBERSHIP, YOU AUTHORIZE THE DISCLOSED PAYMENT PROVIDER TO CHARGE YOUR SELECTED PAYMENT METHOD AT PURCHASE (OR WHEN YOUR TRIAL ENDS) AND AT EACH RENEWAL UNTIL YOU CANCEL. RENEWALS OCCUR AT 5:00 PM EASTERN ON GEORGIA SALE DAY: AT THE END OF EACH SALE CYCLE FOR A MONTHLY MEMBERSHIP, OR OF EACH TWELFTH SALE CYCLE FOR AN ANNUAL MEMBERSHIP. YOUR CHECKOUT AND BILLING PAGE IDENTIFY THE RENEWAL AMOUNT, THE NEXT RENEWAL DATE AND TIME, AND THE CANCELLATION METHOD.
Payment processing, currency conversion, or card-provider charges imposed independently by your financial institution may apply under its agreement with you. We do not impose an undisclosed subscription or county fee. Optional paid add-ons require separate disclosure and acceptance.
If a renewal payment fails, access to the new sale cycle begins only when the payment succeeds. Our payment processor may retry the payment for up to two weeks, after which the membership ends. A failed payment may result in notice, permitted collection attempts, or suspension of unpaid access. A failed renewal does not itself prove that you purchased a new period. You remain responsible for validly authorized unpaid charges, subject to your legal dispute rights. We do not collect duplicate payment for the same obligation or impose an undisclosed penalty for exercising a good-faith billing dispute.
23. Subscription Terms: Trial and promotional access
Trial duration, eligibility, feature restrictions, and any payment requirement must be disclosed in the offer you accept. A trial advertised as requiring no credit card will not create a recurring charge when it ends; paid access requires a separate affirmative subscription purchase. If a different trial offer requires a payment method and later recurring charges, the conversion date, amount, and cancellation mechanism must be conspicuously disclosed and expressly authorized before enrollment. Our standard trial lasts 7 days and, unless the offer states that no credit card is required, requires a payment method. While we offer membership with no credit card during testing mode, a membership started that way is free during testing and then for a 7-day trial, is never charged, and ends with that trial unless you separately purchase a membership. When a trial with a payment method ends, the full price of the sale cycle running at that moment is charged, without deduction for trial days, and the membership then renews at the next sale-day renewal. A sale cycle that ends during the trial is not charged. A trial that ends on sale day before 5:00 PM Eastern converts into that day's sale cycle and renews at 5:00 PM Eastern that day; one that ends at or after 5:00 PM Eastern converts into the next sale cycle.
A trial or promotion may be limited to one eligible user or business and may exclude exports or other disclosed features. We may deny repeated or abusive promotional use. We will not retroactively shorten an accepted promotional period or add previously undisclosed charges merely by updating this Supplement.
24. Subscription Terms: Cancellation; end of access
You may cancel renewal online at our Cancel Subscription page or through the conspicuous “Cancel Subscription” control in Account & Billing. If that control is unavailable, send a cancellation request to The Prop Fund through our Contact page, using the preformatted link provided on the billing page. We may request reasonable account authentication, but you need not provide a cancellation reason, speak by telephone, or complete a retention interview.
Cancellation received before the next renewal prevents that renewal charge. Unless you request immediate closure or access is properly restricted for another reason, paid access continues until 5:00 PM Eastern on the sale day that ends the sale cycle or cycles already paid for. We will provide confirmation and that access-end date and time. Processing delays will not be used to disregard a timely cancellation; an erroneous charge after effective cancellation will be addressed promptly.
Merely stopping use, deleting a browser shortcut, or unsubscribing from marketing email does not cancel billing. The account-deletion workflow will explain and address any active subscription before closure, and a confirmed account-closure request will not leave an undisclosed recurring subscription running. Trial expiry does not delete every record we must retain lawfully.
25. Subscription Terms: Refunds; nonuse; disputed charges
Except where applicable law requires otherwise, an accepted offer promises otherwise, or these terms provide otherwise, fees for the current sale cycle are nonrefundable and are not prorated, whatever day of the cycle you buy, add a county, or cancel renewal, and whether or not you use the service. The occurrence of a cancelled sale, an unavailable bid, a missing field, or an investment that does not meet your expectations does not by itself create a refund entitlement.
This provision does not excuse unauthorized or duplicate charges, materially misleading representations, failure to provide a promised remedy, or other conduct for which law provides a refund or remedy. Contact The Prop Fund through our Contact page with billing concerns. Nothing requires you to surrender a lawful chargeback, card-network dispute, regulator complaint, or other nonwaivable remedy.
If we permanently discontinue your prepaid Data Service for our convenience, rather than because of your material breach, we will refund the unused prepaid sale cycles unless you choose an equivalent substitute. If a material reduction in paid functionality or coverage prevents delivery of the core service you purchased, we will give notice and offer an appropriate remedy, including cancellation and an unused-prepayment refund where required or appropriate under the accepted offer and law. Temporary ordinary maintenance is handled under the availability provisions and any express service commitment.
26. Subscription Terms: Price, feature, and service changes
We may change future pricing and reasonably develop, replace, or discontinue features. A price increase applies prospectively after at least 30 days’ notice and an opportunity to cancel before the increased charge, or any longer notice/consent required by applicable law. It does not reprice a paid sale cycle.
We may correct errors, address security risks, comply with legal or source restrictions, and suspend an unavailable provider. We will not use a general modification clause to silently change the essential economics of your accepted offer. Coverage or feature limitations will be described honestly, and the preceding refund provision applies where relevant.
27. Subscription Terms: Updates and third parties
We may normalize addresses, reconcile records, remove duplicates, and display estimates or summaries. Those processes may contain errors or lose context. An import timestamp is not necessarily the time the underlying fact was confirmed.
A source may change, delay, correct, withdraw, or stop providing information. We do not control government offices, publishers, foreclosing parties, auction operators, courts, payment networks, map providers, or other independent third parties. A link or reference is not an endorsement, partnership, agency relationship, or assurance of the source’s performance. Their independent services are governed by their own applicable terms.
Where a third-party restriction applies to your authorized access or export, we will identify it when required. We do not grant rights to third-party materials that we do not possess. A disclaimer does not substitute for the Company obtaining the rights necessary for its own collection and distribution.
28. Subscription Terms: Independent diligence; no professional or transaction relationship
You are responsible for evaluating opportunities and independently confirming facts material to your decisions. Review current source notices and obtain appropriate title, legal, tax, valuation, financing, property-condition, and other professional assistance as needed. No map, field, calculator, alert, guide, chat response, estimate, or support communication is a title opinion, legal advice, appraisal, credit decision, investment recommendation, or assurance that a transaction is suitable for you.
Use of the Data Service alone does not create a brokerage, agency, fiduciary, attorney-client, advisory, escrow, title-insurance, lending, auctioneer, debt-collection, or property-management relationship with the Company. We do not represent a property owner, lender, bidder, or seller merely by displaying a record. Any separately contracted professional service must be identified and governed separately.
A listing does not establish current default, ownership, available possession, vacancy, consent to contact, permission to enter, clear title, lien priority, a completed sale, or an opportunity to purchase. The Data Disclaimer supplies additional context.
29. Subscription Terms: Prohibited uses and data protection
You may not engage in the following conduct. An authorized written agreement supported by applicable source rights may expressly permit a specified extraction, redistribution, integration, model use, technical assessment, or attribution change otherwise restricted by (a)–(e), but only within its stated lawful scope. No permission authorizes unlawful conduct, malicious access, or a prohibited use in (f)–(j):
(a) scrape, crawl, harvest, bulk extract, mirror, or systematically reproduce the Data Service; use bots, scripts, agents, account rotation, or technical workarounds to evade access or usage restrictions;
(b) resell, sublicense, publish, syndicate, distribute, or provide bulk access to Data, or use it to operate a competing database, data feed, lead service, or substantially substitutive service;
(c) train or fine-tune a general-purpose model, create an external retrieval database, or upload restricted datasets into a third-party AI service that may retain or reuse them beyond your permitted license;
(d) reverse engineer protected software except to the extent a nonwaivable legal right permits it; bypass authentication, paywalls, rate limits, export restrictions, or security controls; introduce malicious code; or probe another user’s account;
(e) remove required attribution, proprietary notices, source qualifications, timestamps, or material limitations from permitted excerpts;
(f) impersonate the Company, a government office, property owner, trustee, court, lender, or other person; falsely suggest an official affiliation or authority;
(g) engage in harassment, stalking, doxxing, discrimination, fraud, trespass, unlawful debt collection, deceptive solicitation, or other unlawful conduct;
(h) use information for credit, insurance, employment, housing/tenant eligibility, or another purpose regulated by the Fair Credit Reporting Act, or compile a consumer background or eligibility report using the Data Service;
(i) infer or assert that publication of a contact detail constitutes permission to call, text, email, market to, or enter the property of an individual; or
(j) submit information you lack authority to provide, maliciously misidentify a person or property, or intentionally submit false correction requests.
These restrictions do not prohibit ordinary authorized use of assistive accessibility technology, expressly approved integrations, lawful security reporting, honest reviews, protected disclosures, or exercise of nonwaivable legal rights. They do not claim control over information you obtain independently and lawfully without using the Data Service, subject to rights otherwise applicable to that information.
30. Subscription Terms: Communications and outreach responsibilities
Service alerts depend on source availability, processing, your chosen settings, and delivery providers. They may arrive after a material event or fail to arrive. An alert is not notice that satisfies a statutory publication, service, foreclosure, or auction requirement. You must not rely on receiving an alert as your only method of checking a sale.
Account/security/billing messages are distinct from promotional communications. Optional marketing consent, when required, is collected separately. A general agreement to these terms does not authorize every marketing call or text. You may change eligible notification preferences and unsubscribe from promotional messages through the provided controls.
If you independently contact a person using information lawfully obtained from the Data Service, you are responsible for your lawful purpose, accurate identification, necessary consent, do-not-call obligations, opt-outs, and other applicable communications rules. We do not supply consent on that person’s behalf. This allocation does not excuse the Company’s own legal obligations.
31. Subscription Terms: User material; private research; feedback
You retain your rights in notes, research, documents, corrections, and other material you submit (“User Material”). You grant the Company a nonexclusive license to host, process, reproduce as technically necessary, and display User Material only to operate the requested service, support your authorized use, investigate misuse, comply with law, and carry out uses accurately disclosed in the Privacy Policy. This license does not make private notes public or authorize unrelated marketing or general-purpose AI training with them.
You represent that you have the necessary rights and permissions to submit User Material. Avoid uploading Social Security numbers, financial account credentials, medical information, unnecessary government ID copies, privileged communications, or information about minors unless a specific authorized process requires it and appropriate protections are in place.
Feedback about features may be used to improve the service without an obligation to pay compensation or keep general product suggestions confidential. This does not transfer ownership of honest consumer reviews or override confidentiality obligations applicable to private data.
32. Subscription Terms: Ownership; enforcement
The Company and its licensors retain their respective rights in software, branding, original content, and protected selection/arrangement of materials. Except for the limited license granted, no ownership or broader license is transferred. No implication of exclusive ownership attaches to independently unprotected public facts.
We may use reasonable technical measures to protect accounts, prevent prohibited extraction, and enforce licenses, consistent with privacy disclosures. Where a lawful infringement or misuse claim exists, we may seek available monetary or equitable relief. We do not claim automatic entitlement to an injunction, elimination of a court’s bond requirements, or penalties without a lawful basis.
Send intellectual-property complaints to The Prop Fund through our Contact page with the affected material, the claimed right, and reliable contact information. Additional statutory notice procedures, if applicable, are identified on our linked intellectual-property notice page.
33. Subscription Terms: Corrections, disputed records, and restrictions
You may report incorrect or misleading information through the property’s “Report a Data Issue” control or our Contact page. A record subject may make a privacy or correction request without purchasing a subscription. Provide enough information to identify the record and disputed field; do not include unnecessary sensitive documents.
We may investigate, seek supporting evidence, mark an item as disputed, correct or suppress a display, contact a source, or remove material as appropriate. A report is not proof that either the original entry or the complaint is correct. We cannot amend an independent government record or guarantee correction of copies previously obtained by independent third parties. We will honor applicable legal duties and rights regardless of these contractual limitations.
34. Subscription Terms: Availability, suspension, and termination
The Data Service may be interrupted by maintenance, source failures, network problems, security events, or circumstances beyond reasonable control. Unless a separate written commitment applies, we do not promise uninterrupted operation, a particular refresh interval, or a guaranteed recovery time. We will not use this provision to excuse nonwaivable duties or a material express promise.
We may proportionately restrict or terminate access for material breach, unauthorized redistribution, fraud, security threats, unlawful use, nonpayment, or loss of necessary source rights. Where feasible and appropriate, we will provide notice and an opportunity to address a remediable issue. Immediate action may be necessary to protect people, systems, or legal rights. We will not retaliate for honest reviews, lawful complaints, privacy requests, or protected disclosures.
Termination ends access and future unauthorized use but does not erase valid accrued payment obligations, lawful retained copies, applicable privacy rights, or provisions intended to survive. Source-specific restrictions, confidentiality, IP protections, lawful indemnity obligations, disclaimers, limitations, and the properly applicable dispute provisions survive to the extent appropriate. Refund obligations in Section 9 and mandatory law remain effective.
35. Subscription Terms: Warranty disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE DATA SERVICE AND DATA ARE PROVIDED “AS IS” AND “AS AVAILABLE.” EXCEPT FOR EXPRESS COMMITMENTS IN A SIGNED AGREEMENT OR ACCEPTED OFFER, THE COMPANY DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE, TO THE EXTENT THOSE DISCLAIMERS ARE LAWFUL.
WE DO NOT WARRANT THE COMPLETENESS, CURRENCY, ACCURACY, AVAILABILITY, LEGAL SUFFICIENCY, OR FITNESS OF A RECORD FOR A PARTICULAR TRANSACTION; THE OCCURRENCE OR RESULT OF A SALE; THE ABSENCE OF LIENS OR DEFECTS; OR ANY PROFIT, SAVINGS, VALUE, TIMING, OR INVESTMENT OUTCOME.
These disclaimers do not authorize knowing falsehoods, excuse the Company’s own unlawful conduct, eliminate mandatory duties to investigate or correct where applicable, or override nonwaivable warranties/remedies or a specific enforceable representation made in the transaction.
36. Subscription Terms: Liability framework; no duplicate cap
The Base Terms’ limitation-of-liability framework is incorporated for the Data Service, subject to this section’s mandatory-law safeguards. All applicable exclusions and caps operate together as one aggregate framework; separate policy pages, claims, records, events, or theories do not create additional caps or duplicate recovery.
Consistent with the Base Terms, the Company’s total aggregate liability arising from the Data Service is limited, to the maximum extent permitted by law, to the greater of (a) amounts you paid for the affected Data Service during the six months preceding the claim, or (b) $100.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY AND ITS PROTECTED AFFILIATES/PERSONNEL ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, LOST BUSINESS OPPORTUNITIES, LOST ANTICIPATED SAVINGS, OR INVESTMENT/TRANSACTION LOSSES TO THE EXTENT THEY FALL WITHIN THOSE EXCLUDED CATEGORIES, ARISING FROM USE OR INABILITY TO USE THE DATA SERVICE. THE LAWFUL CAP APPLIES TO DIRECT DAMAGES AND TO CLAIMS IN CONTRACT, TORT (INCLUDING ORDINARY NEGLIGENCE), OR OTHER THEORIES, EVEN IF THE POSSIBILITY OF LOSS WAS DISCLOSED.
No disclaimer, release, exclusion, cap, or indemnity in these integrated policies limits liability for fraud, gross negligence, willful misconduct, or liability/remedies that applicable law prohibits limiting. No provision eliminates a mandatory refund, required privacy/security notice, protected statutory remedy, or other nonwaivable right. A jurisdiction’s restrictions apply to the extent required; remaining lawful protections continue in effect.
37. Subscription Terms: Data-service indemnification supplement
To the extent permitted by law and without duplicating recovery under the Base Terms, you will indemnify and defend the Company and its affiliates, officers, directors, employees, and agents against third-party claims, judgments, settlements, and reasonable defense expenses to the extent caused by your material breach, unlawful use, unauthorized redistribution, infringement of another’s rights, or User Material that you lacked authority to provide.
This obligation does not require you to indemnify a protected party for amounts caused by that party’s negligence, gross negligence, willful misconduct, fraud, or violation of law. It is not a penalty for a good-faith complaint or review.
The protected party will provide reasonably prompt notice, with delayed notice affecting the obligation only to the extent it materially prejudices the defense; permit a qualified, reasonably acceptable defense; and provide reasonable cooperation at the indemnifying party’s expense. The protected party may participate through separate counsel at its own expense unless a material conflict requires other treatment. No settlement may impose an admission, nonmonetary obligation, or unreleased liability on the protected party without its reasonable consent. Recovery is limited to amounts legally recoverable and actually attributable to the covered claim.
38. Subscription Terms: Georgia law; existing dispute process
The Georgia governing-law provision in the Base Terms applies to the Data Service, subject to controlling federal law and nonwaivable protections applicable to the person or transaction. A Georgia choice of law does not automatically eliminate another jurisdiction’s mandatory privacy, consumer, or other protections.
Disputes remain governed by the single validly accepted dispute-resolution provision at the Dispute Resolution section of our Terms of Use. This Supplement does not create a second arbitration agreement, substitute a different administrator, or retroactively apply a new waiver to a preexisting dispute. If an existing valid arbitration agreement applies, its lawful individual-arbitration requirements continue according to its terms.
Where applicable consumer arbitration standards govern, they control inconsistent fees, hearing-access requirements, or procedural restrictions. Neither party is deprived of applicable small-claims access, statutory remedies, or the ability to contact a regulator. Any preliminary informal process must not defeat a filing deadline; deadlines are tolled during that agreed process to the extent lawful, and a party may file as necessary to preserve a right or seek appropriate urgent relief. If arbitration is unavailable or unenforceable for a dispute, the applicable lawful court-forum provision governs. This Supplement does not impose a standalone pre-dispute waiver of a jury in a Georgia court.
39. Subscription Terms: Amendments; notices; miscellaneous
We may update these terms prospectively. We will identify the effective date and provide reasonable advance notice of material changes, including direct notice to affected account holders where appropriate. We will obtain renewed affirmative assent when required or appropriate for material contract changes. Changes required immediately for law, security, or abuse prevention will be limited to what the circumstances justify; an emergency label will not be used to create undisclosed charges or retroactive waivers.
Changes to how previously collected personal information is used or disclosed will follow the applicable Privacy Policy commitments and legal notice/consent requirements. Continued use is not a substitute for consent where law requires an affirmative choice.
The Base Terms’ compatible assignment, notices, severability, waiver, and general-contract provisions continue. An invalid provision may be severed or limited only as law permits; it is not an instruction to enforce an unlawful provision as written. Force-majeure protections do not excuse payment reversals/refunds owed by law, applicable security duties, or privacy notices merely because performance is inconvenient. A party’s nonexercise of a right is not automatically a waiver.
You may give legal notices to The Prop Fund through our Contact page and The Prop Fund through our Contact page. Electronic operational and contractual notices may be delivered to your registered email or account as allowed by law. Where a legally required record requires additional electronic-delivery consent, the applicable consent process will be supplied. Nothing grants permission to serve legal process by an unauthorized method.
